Terms and conditions<\/h3>\n

1. General<\/h4>\n

Any order automatically implies unconditional acceptance of the buyer following all the conditions described in this document, regardless of the terms which may appear on customer documents, including its terms of purchase.<\/p>\n

2 – Price<\/h4>\n

Nos prix sont sp\u00e9cifi\u00e9s dans l\u2019offre commerciale et s’entendent Hors Taxes, pour le mat\u00e9riel, d\u00e9part de nos ateliers \u00e0 La
\nRoche sur Foron, port et emballage en sus.
\nLes conditions de paiement sont pr\u00e9cis\u00e9es dans l’offre, sinon le payement
\nest exigible par ch\u00e8que \u00e0 r\u00e9ception de la facture.
\nD’autre part, les int\u00e9r\u00eats de retard seront automatiquement et de plein droit per\u00e7us du jour de l’\u00e9ch\u00e9ance au jour de
\nr\u00e8glement au taux annuel \u00e9gal \u00e0 trois fois le taux de l\u2019int\u00e9r\u00eat l\u00e9gal.
\nL’escompte pour r\u00e8glement anticip\u00e9 est de 0,5% par
\nmois, prorata temporis.<\/p>\n

3 – Offers<\/h4>\n

Our offers remain valid for a period of 30 days. Orders must be confirmed in a signed writing
\nto which are attached the present general conditions of sale also signed by the purchaser.<\/p>\n

4 – Delivery<\/h4>\n

The delivery times indicated by our quotes or acknowledgment of receipt, run from the date we are in
\npossession of all the technical information necessary for the execution of the order. In the event that the
\nsales contract includes a payment term when ordering, the deadlines run from receipt of payment
\nof this term. Delivery times are observed as far as possible. Delays cannot justify
\nthe cancellation of the order or the application of a penalty, unless special agreements are made.
\nThe buyer is required to check the apparent condition of the equipment upon delivery. In the absence of express reservations
\nformulated in writing, by the latter, within 48 hours of delivery, the material delivered by
\nROTRONICS is deemed to comply with the order.<\/p>\n

5 – Guarantee<\/h4>\n

The material warranty against any defect in construction or operation is one year from the date of
\ndelivery. The warranty is limited to outright free replacement or repair in our parts workshops.
\nrecognized as defective and which remain our property, without any damage-interest being able to come to our load.
\nRepairs or replacements cannot have the effect of extending the warranty period. The warranty does not
\nnot applicable to repairs resulting from normal wear and tear of devices, damage or accidents
\nresulting from negligence, lack of supervision or maintenance, faulty use or incorrect assembly due to
\nthe possible absence of installation instructions or cases of force majeure.
\nOur guarantee is limited to the price of the invoiced material.<\/p>\n

6 – Ownership<\/h4>\n

Sales will only be perfect after payment of the full price. As long as the price has not been paid in full,
\nthe material will remain the property of ROTRONICS. (Law 80335 of May 12, 1980). The transfer of ownership of
\ndelivered goods, will only take place after full payment of the stipulated price. The buyer will, however, assume
\nfrom the delivery, in his capacity as custodian, the responsibility for the risks inherent in the possession of the equipment (Theft,
\nloss, destruction …) and must be insured accordingly at its own expense.<\/p>\n

7 – Return of goods<\/h4>\n

No return will be accepted without our prior written agreement, possible transport and restocking costs.
\nbeing the responsibility of the customer.<\/p>\n

8 – Studies and projects<\/h4>\n

Studies and documents of any kind delivered and sent by us always remain our sole property. They must
\nbe returned to us on request. We keep the intellectual property of our projects, studies and documents that do not
\nmay be disclosed or performed without our written permission.<\/p>\n

9 – Responsibilities<\/h4>\n

When the customer entrusts ROTRONICS, for whatever reasons, with a magnetic data medium,
\nROTRONICS cannot take any responsibility for the loss of magnetic data, whatever
\nwhether. It is the customer’s responsibility to make the necessary data backups beforehand.<\/p>\n

10 – Dispute<\/h4>\n

In the event of a dispute relating to the supply or its payment, the Annecy Commercial Court is alone.
\ncompetent.<\/p>\n

11 – Applicable law – Language of the contract<\/h4>\n

By express agreement between the parties, these general conditions of sale and the purchase and
\nresulting sales are governed by French law.
\nThey are written in French. In the event that they are translated into one or more languages, only the
\nFrench text would prevail in the event of a dispute.<\/p>\n

12 – Buyer’s acceptance<\/h4>\n

The present general conditions of sale as well as the commercial offer, are expressly approved and accepted.
\nby the buyer, who declares and acknowledges having perfect knowledge of it, and therefore waives the right to take advantage of any
