Terms and conditions

1. General

Any order automatically implies unconditional acceptance of the buyer following all the conditions described in this document, regardless of the terms which may appear on customer documents, including its terms of purchase.

2 – Price

Nos prix sont spécifiés dans l’offre commerciale et s’entendent Hors Taxes, pour le matériel, départ de nos ateliers à La
Roche sur Foron, port et emballage en sus.
Les conditions de paiement sont précisées dans l’offre, sinon le payement
est exigible par chèque à réception de la facture.
D’autre part, les intérêts de retard seront automatiquement et de plein droit perçus du jour de l’échéance au jour de
règlement au taux annuel égal à trois fois le taux de l’intérêt légal.
L’escompte pour règlement anticipé est de 0,5% par
mois, prorata temporis.

3 – Offers

Our offers remain valid for a period of 30 days. Orders must be confirmed in a signed writing
to which are attached the present general conditions of sale also signed by the purchaser.

4 – Delivery

The delivery times indicated by our quotes or acknowledgment of receipt, run from the date we are in
possession of all the technical information necessary for the execution of the order. In the event that the
sales contract includes a payment term when ordering, the deadlines run from receipt of payment
of this term. Delivery times are observed as far as possible. Delays cannot justify
the cancellation of the order or the application of a penalty, unless special agreements are made.
The buyer is required to check the apparent condition of the equipment upon delivery. In the absence of express reservations
formulated in writing, by the latter, within 48 hours of delivery, the material delivered by
ROTRONICS is deemed to comply with the order.

5 – Guarantee

The material warranty against any defect in construction or operation is one year from the date of
delivery. The warranty is limited to outright free replacement or repair in our parts workshops.

Repairs or replacements cannot have the effect of extending the warranty period. The warranty does not

6 – Ownership

Sales will only be perfect after payment of the full price. As long as the price has not been paid in full,
the material will remain the property of ROTRONICS. (Law 80335 of May 12, 1980). The transfer of ownership of
delivered goods, will only take place after full payment of the stipulated price. The buyer will, however, assume
from the delivery, in his capacity as custodian, the responsibility for the risks inherent in the possession of the equipment (Theft,
loss, destruction …) and must be insured accordingly at its own expense.

7 – Return of goods

No return will be accepted without our prior written agreement, possible transport and restocking costs.

8 – Studies and projects

Studies and documents of any kind delivered and sent by us always remain our sole property. They must
be returned to us on request. We keep the intellectual property of our projects, studies and documents that do not
may be disclosed or performed without our written permission.

9 – Responsibilities

When the customer entrusts ROTRONICS, for whatever reasons, with a magnetic data medium,
ROTRONICS cannot take any responsibility for the loss of magnetic data, whatever

10 – Dispute

In the event of a dispute relating to the supply or its payment, the Annecy Commercial Court is alone.

11 – Applicable law – Language of the contract

By express agreement between the parties, these general conditions of sale and the purchase and
resulting sales are governed by French law.
They are written in French. In the event that they are translated into one or more languages, only the
French text would prevail in the event of a dispute.

12 – Buyer’s acceptance

The present general conditions of sale as well as the commercial offer, are expressly approved and accepted.
